PROPRIETARY SOFTWARE LICENSE AGREEMENT

This Proprietary Software License Agreement (the "Agreement") is a legal contract between you (an individual or legal entity) and the copyright holder identified above for the use of the associated software (the "Software").

By using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you are not authorized to use the Software.

1. GRANT OF LICENSE
The copyright holder grants you a personal, non-exclusive, non-transferable, revocable license to use the Software solely for personal or internal purposes, subject to prior authorization. This license does not grant access to the source code.

2. RESTRICTIONS
You are NOT authorized to:
   a) Copy, modify, adapt, or create derivative works of the Software.
   b) Distribute, sublicense, rent, share, or transfer the Software to any third party.
   c) Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code.
   d) Remove any copyright or intellectual property notices from the Software.
   e) Use the Software for commercial purposes without the express written consent of the copyright holder.

3. INTELLECTUAL PROPERTY
The Software is licensed, not sold. The copyright holder retains all rights, title, and interest in and to the Software, including all copyrights and intellectual property rights.

4. TERMINATION
This license is effective until terminated. It will terminate automatically if you violate any of its terms. Upon termination, you must cease all use of the Software and destroy all copies, in whole or in part, in your possession.

5. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

6. LIMITATION OF LIABILITY
IN NO EVENT SHALL THE COPYRIGHT HOLDER BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE.
